Meaning
Equity distribution occurs through an incremental grant structure reserved for individuals who provide strategic counsel without a formal employment contract. Founders use advisory vesting to align the long term incentives of outside experts with the growth of the venture. This arrangement usually spans a shorter duration than the standard four year employee cycle and often features a monthly release without a cliff.
Accrual Schedule
Time based release of shares or options follows a predetermined calendar. The common advisory vesting period runs between twelve and twenty four months. Advisors receive a portion of their total grant every month that they remain available for consultation.
This continuity ensures the venture retains access to specialized knowledge during periods of transition.
Value Exchange
Reciprocity in this context involves the trade of high level expertise for potential capital gains. Unlike a paid consultancy, the advisor takes on the risk of the company while the founder avoids immediate cash expenditure. The hours committed are typically low, often involving only a few calls or meetings each month.
This trade allows a founder to build a bench of advocates who have a financial stake in the success of the firm. Specific guidance on fundraising or hiring strategy constitutes the core of the contribution. Because the advisor often holds a full time role elsewhere, the commitment is limited by their primary obligations.
Separation Boundary
Termination of the relationship halts the forward progression of equity ownership immediately. Unvested portions of the grant return to the company pool without further negotiation or payment. The relationship remains at will, allowing either party to end the connection when the advice is no longer relevant.
This clean break prevents the dilution of the cap table by individuals who no longer contribute to the current phase of the company.
