Meaning
Legal contracts define the terms under which one party is authorized to sell or supply products manufactured by another. A distribution agreement establishes the geographical territory, price points and marketing responsibilities that govern the relationship between a producer and its selling partner. It protects the brand by setting quality standards while ensuring the distributor has a reliable source of inventory.
The document typically specifies whether the arrangement is exclusive or if multiple partners can operate in the same area.
Territorial Right
Geographic boundaries prevent different partners from competing for the same customers. When a distribution agreement grants exclusivity for a specific country, the manufacturer cannot sell to any other wholesaler in that region. This protection encourages the distributor to invest heavily in local advertising and support staff.
If the distributor fails to meet sales targets, the manufacturer might have the right to revoke this exclusivity.
Supply Obligation
Reciprocal duties ensure that inventory flows smoothly to meet market demand. The producer must provide products that meet the agreed specifications and deliver them according to the stated timeline. In return, the distributor commits to holding a certain amount of stock and paying for it within a set number of days.
These terms manage the cash flow and inventory risk for both parties.
Termination Clause
Exit paths allow the parties to end the relationship if it becomes unprofitable. A distribution agreement usually includes a notice period that gives both sides time to wrap up their affairs and sell through remaining stock.
