Meaning
A vesting mechanism where a significant portion of shares or benefits becomes available all at once after a specified period of service has passed. This cliff accrual ensures that participants demonstrate a minimum level of commitment before they receive any equity or deferred compensation. It acts as a filter to align the interests of long term builders with the capitalization table of the firm.
Retention Incentive
Early departures result in zero ownership for the individual because the benefit only triggers on a specific date. A cliff accrual typically marks the end of the first year of involvement in a new venture. The delay protects the cap table from fragmentation caused by short term contributors who do not reach the required milestone.
Structural Timing
The sudden grant of rights can create a period of high turnover risk immediately following the vesting date. Managers often observe that the psychological pressure of the upcoming cliff accrual keeps team members engaged until the moment the shares transfer. Once the threshold is crossed, the vesting usually shifts to a monthly or quarterly schedule to encourage continued presence and contribution.
The transition from a single block to smaller increments balances the need for initial stability with the desire for ongoing participation.
Vesting Boundary
Vesting rules generally apply to standard employee contracts and founder agreements. It does not apply to immediate cash payments or commissions which are earned at the point of sale.
