Meaning
A class of claimants in a bankruptcy case holds debt that is not backed by collateral or priority rights. These general unsecured creditors stand at the bottom of the payout hierarchy among debt holders. This position exposes them to the highest risk of non-payment if the liquidated assets are insufficient to cover the debtor’s liabilities.
Asset Distribution
The payment to this group occurs only after all administrative expenses, secured claims, and priority claims are satisfied in full. Representatives of general unsecured creditors often participate in committees to monitor the restructuring process. This participation helps them advocate for a larger share of the remaining assets.
Recovery Rate
The historical percentage of debt returned to this class in corporate liquidations is very low. For general unsecured creditors, the return often amounts to pennies on the dollar or is completely eliminated. This outcome occurs because senior secured lenders usually exhaust the available cash.
Class Participation
During the restructuring of a company, these claimants must vote on the plan of reorganization to protect their interests. The classification of general unsecured creditors means that they vote as a single class, requiring a majority in number and two-thirds in claim amount to approve the plan. If they reject the plan, the debtor must satisfy the cramdown rules to proceed with the reorganization.
This dynamic gives the class a lever to negotiate for better terms or equity stakes.
