Meaning
A contractual commitment to grant company shares to an employee or founder upon meeting specified vesting conditions or performance milestones. Issuing a restricted stock unit provides an equity-based compensation grant that carries no voting rights or dividend entitlements until share delivery occurs. Unlike option grants, these units require no exercise price, converting directly into actual shares once time-based or milestone conditions are satisfied.
The scope of the agreement terminates upon share distribution or employment separation prior to vesting.
Vesting Trigger
Satisfying employment tenure requirements or operational milestones releases shares from company restrictions. Holding a restricted stock unit typically requires completing time-based service periods or liquidity events before conversion into tradeable common stock. Double-trigger units require both time-based service and a corporate exit event before share transfer completes.
Unvested units cancel automatically when the recipient leaves the enterprise prior to satisfying contractual conditions.
Tax Timing
Taxable events occur at the exact moment shares vest and deliver, based on the prevailing fair market value of common stock. Recipients face ordinary income tax obligations on the market value of delivered shares at vesting, followed by capital gains treatment on future appreciation.
Grant Boundary
Equity commitments remain contingent on continuous service and board approval of underlying equity incentive plans. Unallocated or forfeited units return to the unallocated option pool rather than transferring to departing employees.
